UPPERVOID Gift Program — Terms and Conditions

These Terms and Conditions ("Terms") govern any promotional program in which UPPERVOID ("we," "us," "our") offers a complimentary product ("Gift") to selected individuals ("Applicants") who apply in response to a promotional announcement on our social media channels or website (each, a "Promotional Post"). By submitting an application in response to a Promotional Post, or by accepting a Gift, you agree to these Terms.

Each Promotional Post specifies the current campaign's details — the specific Gift item(s), eligibility criteria, application deadline, and any related event — and forms part of these Terms by reference. These Terms apply to every such campaign without needing to be rewritten for each one.

1. Eligibility

1.1 To be considered, Applicants must meet the eligibility criteria stated in the relevant Promotional Post at the time of application. We may verify eligibility and request supporting documentation before or after selection.

1.2 Submitting an application does not guarantee selection. Selection is made at UPPERVOID's sole and absolute discretion. We are under no obligation to select any minimum or maximum number of Applicants, or to explain any selection decision.

1.3 We may disqualify any Applicant, before or after selection, who provides false, incomplete, or misleading information.

2. The Gift

2.1 If selected, you will receive the Gift item(s) specified in the relevant Promotional Post, at no cost, subject to these Terms.

2.2 The Gift has no cash value and cannot be redeemed, exchanged, or resold for cash or credit, and is non-transferable except with our prior written consent.

2.3 We do not guarantee availability of any specific size, color, or configuration of the Gift. If your preference is unavailable, we may offer the closest available alternative or decline to fulfill that selection.

2.4 To claim your Gift, selected Applicants must complete the claim process on our website within the timeframe stated in their selection notification. Claims not completed within that period may be forfeited and the Gift reallocated at our discretion.

3. No Exchanges, Returns, or Refunds

3.1 Because the Gift is provided free of charge, it is not eligible for return, exchange, or refund based on size, color, or style preference, or change of mind. This differs from products purchased from UPPERVOID, which remain subject to our standard purchase return policy.

3.2 This Section does not limit any right you may have under applicable consumer protection law to a repair, replacement, or remedy where the Gift is defective or not fit for its intended purpose. Where such statutory rights apply, they are not affected by these Terms.

4. Use of the Gift and Assumption of Risk

4.1 Use of the Gift for its intended purpose (including athletic or outdoor activity, where applicable) carries inherent risks not created or increased by our provision of the Gift. You are responsible for assessing whether the Gift is suitable for your own use, fitness level, and the conditions in which you intend to use it, and for inspecting it before use.

4.2 Nothing in these Terms excludes or limits liability for death or personal injury caused by a genuine defect in the Gift, or any other liability that cannot be excluded or limited under applicable law. Where permitted by applicable law, our liability for any other loss connected to the Gift Program is limited to the retail value of the Gift.

5. Marketing and Publicity

5.1 By participating, you grant UPPERVOID a non-exclusive, royalty-free, worldwide license to use your name, social media handle, general location, and any photos, videos, or testimonials you voluntarily provide in connection with the Gift Program, for marketing and promotional purposes across our website, social media, and other channels, without additional compensation.

6. Personal Information

6.1 Information submitted in connection with an application (including contact details and any eligibility-related data) is used to administer the Gift Program and, where you have separately agreed, for marketing communications. See our Privacy Policy.

7. Our Right to Modify or Cancel

7.1 We may modify, suspend, or cancel any Gift Program campaign at any time, including after applications have been submitted, without liability except as required by applicable law.

7.2 We may amend these Terms at any time; the version in effect at the time you claim a Gift governs that claim.

8. Governing Law and Your Local Rights

8.1 These Terms are governed by the laws of [United States of America and Netherlands], without regard to conflict of law principles, and subject to the exclusive jurisdiction of the courts of that jurisdiction, except as set out below.

8.2 If you are a consumer resident in the European Union, the United Kingdom, a U.S. state, or a Canadian province, nothing in this Section deprives you of any protection you are entitled to under the mandatory consumer protection laws of your place of residence, to the extent those laws cannot be excluded by agreement. Where such mandatory local law conflicts with Section 8.1, the mandatory local law applies solely to the extent of that conflict.

本条款（"本条款"）适用于二普纬度（"我们""本公司"）不定期开展的、向通过社交媒体或官网公告（"活动公告"）申请并获选的个人（"申请人"）提供免费产品（"赠品"）的推广活动（"赠品活动"）。申请人一经根据活动公告提交申请，或一经接受赠品，即视为同意本条款。

每次活动公告将载明该次活动的具体信息——赠品的具体品类、申领资格条件、申请截止时间以及相关联的赛事或场合（如有），该等信息构成本条款的组成部分。本条款适用于每一次此类活动，无需针对每次活动单独修改。

一、申领资格

1.1 申请人须符合相应活动公告中载明的资格条件方可被纳入考虑范围。我们有权在选定前后核实申请人资格，并要求其提供相应证明材料。

1.2 提交申请并不代表必然获选。是否选定申请人完全由二普纬度（UPPERVOID）自行决定，我们无义务选定任何最低或最高数量的申请人，亦无义务说明任何选定决定的理由。

1.3 对于在申请前后提供虚假、不完整或误导性信息的申请人，我们有权取消其申领资格。

二、赠品

2.1 获选申请人将按照相应活动公告所载明的品类，免费获得赠品，并须遵守本条款。

2.2 赠品不具有现金价值，不得兑换现金或积分，不得转售，除非经我们事先书面同意，不得转让。

2.3 我们不保证赠品特定尺码、颜色或款式的库存供应。如申请人偏好的规格缺货,我们可提供现有最接近的替代规格，或自行决定不予发放。

2.4 获选申请人须在其获选通知中载明的期限内，通过我们官网完成赠品领取流程。逾期未完成领取的，视为放弃领取资格，赠品可由我们自行决定重新分配。

三、不适用退换货及退款

3.1 由于赠品系免费提供，因此不适用因尺码、颜色、款式偏好或个人原因变更而产生的退货、换货或退款。此规定与二普纬度付费购买产品所适用的标准退货政策不同。

3.2 本条不影响申请人依据适用的消费者权益保护法律，就赠品存在缺陷或不符合其应有用途所享有的维修、更换或其他法定救济权利。在该等法定权利适用的范围内，本条款不影响其效力。

四、赠品的使用与风险自负

4.1 按赠品预期用途使用赠品（包括户外或运动场景，如适用）本身即存在固有风险，该等风险并非因我们提供赠品而产生或增加。申请人应自行判断赠品是否适合其自身使用情况、身体条件及使用环境，并应在使用前自行检查赠品状况。

4.2 本条款任何内容均不排除或限制因赠品存在真实缺陷而导致的人身伤亡责任，亦不排除或限制根据适用法律不得排除或限制的其他责任。在适用法律允许的范围内，我们就赠品活动所产生的其他损失所承担的责任，以赠品的零售价值为限。

五、市场宣传与形象使用

5.1 参与本活动即表示申请人授予二普纬度非独占的、免费的、全球范围内的许可，允许我们将申请人的姓名、社媒ID，大致所在地区，以及申请人自愿提供的照片、视频或使用感受，用于官网、社交媒体及其他渠道的市场推广，且无需另行支付任何报酬。

六、个人信息处理

6.1 申请人在申请过程中提交的信息（包括联系方式及与资格审核相关的数据），将用于本次赠品活动的管理，如申请人另行同意，亦可用于市场营销沟通。我们对个人信息的处理遵循《中华人民共和国个人信息保护法》等相关法律法规的要求，具体处理方式详见 [隐私政策链接]。

七、活动的变更与终止

7.1 我们有权随时修改、暂停或终止任何赠品活动，包括在申请提交之后，且无需承担责任，法律另有强制性规定的除外。

7.2 我们有权随时修改本条款，申请人领取赠品时有效的条款版本适用于该次领取。

八、适用法律

8.1 本条款适用中华人民共和国法律（不含港澳台地区法律），因本条款产生的争议由 [上海] 有管辖权的人民法院管辖。
